Partner Program Terms

1. Program Description

The Partner Program enables partners to refer new customers to WAOTM and receive commissions for this. Partners actively promote the WAOTM platform within their network and support the onboarding of new customers.

2. Commission Structure

• Signup Bonus: €250 one-time per new paying customer, paid after 1 month of active subscription.
• Monthly Subscription Commission: 5-20% of monthly subscription fees (€199/month), based on tier system, as long as the customer remains active.
• Hiring Fee Commission: 1% of each hiring fee (15% gross annual salary) paid by the customer.
• Commissions are calculated on net amounts (excluding VAT).

3. Tier System

• Bronze (0-4 active customers): 5% monthly commission
• Silver (5-9 active customers): 10% monthly commission
• Gold (10-19 active customers): 15% monthly commission
• Platinum (20+ active customers): 20% monthly commission
• Tier is recalculated monthly based on the number of active paying customers. Tier applies to all customers, including existing ones.

4. Payout

• Commissions are paid monthly, at the latest 15 working days after the end of the month.
• Minimum payout amount: €50. Lower amounts are carried forward to the next month.
• Payout via bank transfer to the account number provided by Partner.
• Partner receives a monthly commission overview via the partner dashboard.

5. Valid Referral Requirements

• The customer must sign up via the unique partner link or partner code.
• The customer must not be an existing customer or lead in our system.
• The customer must remain active and paying for at least 1 month for signup bonus.
• Signup bonus is forfeited upon cancellation within the first month.
• Self-referrals (partner refers own company) are not allowed.
• Commissions are not paid on discounts or promotions that WAOTM gives directly to customer.

6. Partner Obligations

• Partner promotes WAOTM in a fair and accurate manner without misleading claims.
• Partner may not present themselves as an official WAOTM employee unless explicitly authorized.
• Partner respects the brand and reputation of WAOTM.
• Spam, unsolicited emails, or aggressive marketing tactics are prohibited.
• Partner complies with all applicable laws and regulations, including GDPR.
• Partner does not use paid advertising on branded keywords (e.g., 'We Are Over The Moon') without prior permission.

7. Marketing Materials

WAOTM provides marketing materials (logos, banners, content) that Partner may use. Partner may not modify these materials without permission. All intellectual property rights remain with WAOTM.

8. Termination

• Partner can terminate participation at any time via the partner dashboard.
• WAOTM can terminate partnership in case of violation of these terms, reputational damage, or fraudulent activities.
• Upon termination by WAOTM for violation, all outstanding commissions are forfeited.
• Upon voluntary termination by Partner, outstanding commissions are still paid according to normal schedule.
• Commissions on existing customers continue for a maximum of 12 months after termination, unless partnership is terminated for violation.

9. Changes to Commission Structure

WAOTM reserves the right to change the commission structure with at least 60 days' notice. Existing customers retain the old commission structure for at least 6 months. Partner can terminate the partnership upon substantial negative changes without loss of commissions on existing customers.

10. Tax and Administration

• Partner is solely responsible for correct tax reporting of received commissions.
• Partner must provide a valid VAT number if applicable.
• WAOTM provides an annual commission overview for tax purposes.
• Partner warrants that they are entitled to receive commissions and comply with local laws and regulations.

11. Non-Compete During Partnership

During active partnership, Partner may not actively promote competing HR-AI platforms to the same network or target audience. This does not apply to passive partnerships or general consulting services.

12. Liability

WAOTM is not liable for lost income due to technical failures, platform changes, or customers canceling their subscription. WAOTM does not guarantee that the platform will remain available or that the commission structure will remain unchanged (subject to notice periods).

13. Governing Law

These terms are governed by Dutch law. Disputes are preferably resolved through mutual consultation.
